Vendor Agreement
Responsibilities for operating a store, fulfilling orders and handling buyer information.
1. Scope and seller role
This agreement supplements the Terms of Service when you operate a store or sell through Debelu. You are responsible for the goods or services you offer and the promises you make in the listing and order.
The marketplace provides discovery, order and payment tools. It does not grant you an intellectual-property license, a regulatory permit or approval to sell a restricted product.
2. Store setup and verification
Provide accurate store and contact information and complete the review steps required in the seller account. Do not use another person’s identity or documents. Keep information current when ownership, fulfillment or payout details change.
A verification state reflects the reviewed information; it is not an endorsement of every product. Creating a buyer account or selecting seller intent does not assign seller privileges by itself.
3. Listings and availability
Use clear photographs and descriptions that match what you supply. State condition, size, quantity, defects, relevant compatibility and whether an item is used or reconditioned. Explain warranties or restrictions honestly.
Keep price and availability current. Do not accept an order for an unavailable item without explaining the issue and arranging a lawful cancellation or a buyer-approved alternative. Never create false ratings or an invented brand affiliation.
4. Lawful products and conduct
Offer only products you are entitled to sell. Counterfeit, stolen, unlawful or unsafe goods, weapons and academic-dishonesty services are prohibited. Additional product categories may require legal permissions that are your responsibility.
Follow the Community Guidelines. Do not harass a buyer, threaten a complainant, manipulate reviews or bypass a restriction through another account.
5. Prices, fees and records
Listing is free. Review the applicable seller fee, your share and fee examples on the Pricing page. Any separately applicable charge must be disclosed before the buyer commits; do not demand a surprise surcharge at handover.
Maintain the records needed for your business and explain taxes or invoices where applicable. You remain responsible for your tax and reporting obligations; the marketplace does not provide individualized tax advice or assert that every seller has the same obligations.
6. Orders and communication
Check the order details and agree on realistic delivery or pickup arrangements. Communicate material delays and respond to questions about what was sold. Do not substitute an item, condition or quantity without the buyer’s agreement.
Pack and fulfill the order with reasonable care. Keep useful communications and proof connected to the order, particularly if the delivery method requires a third party. No universal fulfillment or delivery time is assumed.
7. Inspection and payment release
Allow the buyer to inspect the item at handover. Ask for the delivery PIN only after inspection; never ask for a password, login code or an early PIN to “unlock” delivery.
Sharing your delivery PIN after inspection releases funds to the seller’s wallet. If no PIN is shared and no dispute is opened, funds are automatically released three days after delivery.
Do not misstate an order’s delivery status to trigger release. A platform release event does not extinguish a lawful obligation to address a defective or misdescribed product.
8. Wallet release and bank withdrawal
Wallet release is different from a bank withdrawal. Use the account’s withdrawal controls and provide payout information you are authorized to use. Verification, provider processing, bank availability or a review can affect timing.
Report discrepancies with the relevant transaction reference. A withdrawal request is not a guarantee of immediate receipt, and the agreement does not create a fixed bank-payout SLA.
9. Cancellations, returns and refunds
If you cannot supply the agreed item, explain promptly and use the applicable cancellation or refund process. Respond constructively to a return request, preserve evidence and clarify safe return and inspection arrangements where relevant.
A seller policy cannot exclude consumer rights that cannot lawfully be excluded. Do not use “no refunds,” a released PIN or a platform reporting limit as a blanket answer to every complaint. Do not require a second payment as a condition for returning money owed.
10. Disputes and cooperation
Provide accurate evidence when an order is reviewed, including relevant listing details, messages and fulfillment records. An open dispute holds funds while it is reviewed. Do not tamper with evidence or pressure the buyer to withdraw a report.
Review can consider both parties’ evidence; it does not promise a predetermined outcome or fixed time. See dispute guidance. Request an explanation or reconsideration through support if you believe relevant evidence was missed.
11. Buyer information and confidentiality
Use a buyer’s contact and delivery information only to fulfill the purchase, manage a legitimate follow-up or meet a legal obligation. Do not publish it, sell it, send unsolicited marketing or share it with someone who has no role in fulfillment.
Limit any delivery partner’s information to what that task requires. Keep your own copies secure and retain them only for a legitimate purpose. Your independent use of customer information can make you responsible for complying with data-protection law.
12. Listing content and platform rights
You retain the rights you hold in your listing material. You allow Debelu to display and transmit it as necessary for marketplace operation, orders and related support or moderation. Do not submit content belonging to someone else without permission.
Do not misuse the Debelu name or imply an endorsement, partnership or guarantee that was not given. Use supplied brand resources only for an appropriate reference to the service.
13. Restrictions, closing a store and contact
A store may be restricted for unlawful products, fraud, misleading information, unsafe conduct or other material breaches. The response may be a warning, listing removal, temporary restriction or closure, according to the circumstances. A seller can ask support for reconsideration where lawful and safe.
Closing a store does not remove outstanding fulfillment, refund, dispute, payment or statutory obligations. Contact help@debelu.com about an order or restriction and legal@debelu.com about this agreement. Nigerian law and non-waivable consumer rights remain applicable.
